These Terms of Service (the "Terms") govern your access to and use of the BioSync IQ products, applications, websites, dashboards, communications, remote therapeutic monitoring features, artificial intelligence features, and related services (collectively, the "Services") provided by Innovo Ventures LLC d/b/a BioSync IQ ("BioSync IQ," "we," "us," or "our"). By creating an account, accessing the Services, receiving communications through the Services, or otherwise using the Services, you agree to these Terms.

1. Products Provided Through Your Organization — Notice to End Users

If you use a BioSync IQ product or account provided, sponsored, administered, or requested by a medical provider, clinic, health plan, employer, research partner, or other organization with which you are affiliated, that organization may be able to access, use, disclose, and process information associated with your use of the Services, subject to applicable law and any agreements between BioSync IQ and that organization.

This may include account information, enrollment information, interaction data, device and usage data, diagnostic and technical data, remote monitoring data, questionnaire responses, communications, files, reports, care-management notes, alerts, adherence information, and other information generated through or submitted to the Services.

Your provider or sponsoring organization may have its own privacy notices, consent forms, patient responsibility terms, financial policies, or other terms that apply to your use of the Services. Please review those materials carefully.

2. BioSync IQ Account

You may need a BioSync IQ account to access many of the Services. You agree to provide accurate, current, and complete information when creating or using your account and to promptly update that information if it changes.

Information associated with your account may include credentials, name, contact information, demographic information, payment or billing information where applicable, device and usage data, communications, preferences, health-related responses, activity data, adherence information, and other information necessary to provide, support, personalize, secure, improve, analyze, and develop the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not transfer your account credentials to another person or entity.

3. Remote Therapeutic Monitoring and Provider Services

By using Services that support remote therapeutic monitoring, remote patient engagement, medication adherence, health check-ins, activity tracking, symptom reporting, or similar features, you understand that your participating medical provider may use information from the Services as part of your care, care coordination, patient engagement, documentation, compliance, billing, and related health care operations.

You understand that remote therapeutic monitoring or similar services may be billable by your provider and may involve deductibles, coinsurance, copays, or other patient responsibility amounts depending on your insurance coverage and applicable law. You may cancel your participation at any time by notifying your provider or BioSync IQ as instructed.

Only one provider may be able to bill certain remote monitoring services for the same patient during the same time period. You agree to notify your provider if you are participating in a similar remote monitoring program with another provider.

4. No Emergency Use; No Independent Medical Advice

The Services are not intended for emergency use, urgent medical situations, or real-time life-safety monitoring.

If you believe you may have a medical emergency, call 911 or seek emergency medical care immediately.

BioSync IQ does not independently practice medicine, provide medical diagnosis, or prescribe treatment. Information made available through the Services is intended to support your relationship with your medical provider and should not replace professional medical advice, diagnosis, or treatment.

5. Collection of Data from Children

For users under the age of 13, or a higher age if required by applicable law in the user's jurisdiction, certain Services may block use by children or may require consent, authorization, or account setup by a parent, guardian, or legally authorized representative.

We do not knowingly request more personal information from a child than is reasonably necessary to provide the applicable Service. Parents or guardians may contact us or the participating provider to request review, correction, or deletion of a child's information as permitted by law and applicable clinical record retention requirements.

6. Artificial Intelligence Features

BioSync IQ may use artificial intelligence, machine learning, natural language processing, automation, predictive analytics, generative AI, clinical decision-support tools, summarization tools, adherence tools, risk scoring, workflow automation, and related technologies in connection with the Services (collectively, "AI Features").

AI Features may be used to help generate summaries, identify trends, support documentation, triage information, personalize patient engagement, improve medication adherence, support care coordination, flag potential risks or missing information, enhance product functionality, monitor quality, detect misuse, improve security, and develop new or improved Services.

AI-generated outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular situation. You and your provider should use independent judgment before relying on any AI-generated output. BioSync IQ does not guarantee that AI Features will identify every issue, generate complete or accurate information, or be appropriate for every patient, provider, workflow, or use case.

Where required by law or contract, BioSync IQ will implement safeguards designed to protect personal information and protected health information when AI Features are used.

7. Data Use, Analytics, Product Improvement, and Monetization

You acknowledge and agree that BioSync IQ may collect, use, host, process, retain, analyze, transmit, disclose, create, derive, aggregate, de-identify, and otherwise use data submitted to, collected by, or generated through the Services as described in these Terms, our privacy notices, applicable authorizations, business associate agreements, provider agreements, and applicable law.

Subject to applicable law and contractual restrictions, BioSync IQ may use data for purposes including providing the Services; supporting patient care and care coordination; account administration; technical support; billing support; security; fraud, abuse, and misuse detection; compliance; audit support; quality assurance; product development; analytics; benchmarking; outcomes analysis; AI model development, testing, validation, monitoring, and improvement; research support; commercialization; and development of new features, products, services, and business opportunities.

BioSync IQ may create, own, use, disclose, license, sell, commercialize, or otherwise monetize aggregated, anonymized, statistical, derived, or de-identified data, insights, analytics, outputs, benchmarks, models, scores, metrics, or other information that does not identify you and is not reasonably capable of being used to identify you, subject to applicable law. BioSync IQ will not sell protected health information or personally identifiable health information except as permitted by applicable law, with required authorization, or as otherwise allowed by a valid legal basis.

To the extent your information is protected health information under HIPAA or similar laws, BioSync IQ will use and disclose such information only as permitted by applicable law, applicable provider instructions, business associate agreements, and any required patient authorizations. Nothing in these Terms is intended to reduce any rights you may have under applicable privacy or health information laws.

8. Your Content and License to BioSync IQ

The Services may allow you to create, upload, submit, send, receive, store, or share information, text, messages, questionnaire responses, images, files, device data, health-related information, activity data, medication information, and other content (collectively, "Your Content"). BioSync IQ does not claim ownership of Your Content as between you and BioSync IQ, except for rights granted in these Terms or otherwise permitted by law.

You represent that you have the rights and authority necessary to submit Your Content to the Services and that your submission and use of Your Content will not violate applicable law or the rights of any third party.

To the extent necessary or useful to provide, secure, support, operate, improve, analyze, develop, commercialize, and protect the Services and BioSync IQ's business, and subject to applicable law, you grant BioSync IQ a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, use, display, adapt, modify, create derivative works from, de-identify, aggregate, analyze, and otherwise use Your Content. This license continues for as long as reasonably necessary for the purposes described in these Terms, subject to applicable law and any required record-retention obligations.

When you share Your Content with another person, provider, organization, or service, you understand that the recipient may use, save, reproduce, transmit, share, display, or further disclose that content according to the permissions you grant, the recipient's policies, and applicable law.

9. Communications, SMS, Email, and Service Notifications

If you provide an email address, telephone number, mobile number, or other contact information, you agree that BioSync IQ, your provider, and service providers acting on our behalf may contact you about your account, enrollment, identity verification, service notifications, remote monitoring check-ins, medication adherence, appointments, support, billing, updates, security, and other Service-related matters.

Communications may be sent by email, SMS/text message, phone call, push notification, in-product message, automated system, or other available means. Message and data rates may apply. You may be able to opt out of certain non-essential communications, but some operational, security, billing, compliance, or account-related communications may still be required to provide the Services.

10. Data Plans, Devices, and Third-Party Services

To use many of the Services, you need an internet connection, compatible device, software, browser, and/or data or cellular plan. You are responsible for providing all devices, connections, plans, and equipment needed to use the Services and for paying all charges imposed by your service providers.

The Services may integrate with or depend on third-party devices, operating systems, app stores, health data platforms, wearable devices, communications vendors, cloud services, analytics providers, payment processors, or other third-party services. BioSync IQ is not responsible for third-party services, third-party terms, or third-party failures except as required by applicable law.

11. Code of Conduct

You are responsible for your conduct when using the Services. You agree not to do anything illegal; exploit, harm, or threaten children; send spam or phishing; distribute malware; submit fraudulent, false, misleading, obscene, harassing, abusive, or harmful content; circumvent access or usage restrictions; interfere with the Services; violate the privacy or rights of others; reverse engineer the Services except as permitted by law; scrape or harvest data without authorization; or use the Services in a way that could harm BioSync IQ, users, providers, patients, third parties, or the integrity of the Services.

BioSync IQ may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created risk, misused the Services, or engaged in activity that could harm others or the Services.

12. Updates to the Services, Software, and Terms

We may modify, update, suspend, remove, discontinue, or change the Services, software, features, or functionality at any time, subject to applicable law and contractual commitments. Some updates may be installed automatically or may be required to continue using the Services.

We may change these Terms from time to time. We will provide notice of material changes as required by law or as we determine appropriate. Your continued use of the Services after revised Terms become effective means you agree to the revised Terms. If you do not agree, you must stop using the Services and close your account or cancel participation as applicable.

13. Closing Your Account and Canceling Services

You may cancel participation in certain Services or close your BioSync IQ account as permitted by the applicable Service. To cancel participation in provider-sponsored remote monitoring or similar services, notify your provider's representative or BioSync IQ support as instructed.

Deleting the BioSync IQ application from your device may stop local access but may not close your account, cancel provider services, or delete records already created or retained by BioSync IQ, your provider, or another organization. Certain data may be retained as required or permitted by law, clinical record obligations, billing rules, audit obligations, dispute resolution, security, backup, compliance, and legitimate business purposes.

14. Intellectual Property

The Services, including software, workflows, dashboards, interfaces, documentation, data structures, templates, reports, analytics, AI Features, models, algorithms, designs, trademarks, trade names, service marks, logos, and other content provided by BioSync IQ, are owned by BioSync IQ or its licensors and are protected by intellectual property and other laws.

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication or otherwise. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as expressly permitted by these Terms or applicable law.

15. Privacy and Security

BioSync IQ uses reasonable administrative, technical, and physical safeguards designed to protect information processed through the Services. However, no system, network, communication method, software, or storage technology is completely secure, uninterrupted, or error-free.

Our collection, use, disclosure, and retention of personal information may be further described in our privacy notices, provider agreements, business associate agreements, consent forms, authorizations, and other applicable documents. If these Terms conflict with a written business associate agreement or other required legal agreement governing protected health information, that agreement will control to the extent of the conflict.

16. Warranties Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INNOVO VENTURES LLC D/B/A BIOSYNC IQ, ITS AFFILIATES, LICENSORS, CONTRACTORS, VENDORS, RESELLERS, DISTRIBUTORS, AND SERVICE PROVIDERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, GUARANTEES, OR CONDITIONS WITH RESPECT TO THE SERVICES. THE SERVICES ARE PROVIDED ON AN "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOSYNC IQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, WORKMANLIKE EFFORT, ACCURACY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY, AND QUIET ENJOYMENT. BIOSYNC IQ DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, ACCURATE, OR FREE FROM LOSS, DELAY, CORRUPTION, OR UNAUTHORIZED ACCESS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOSYNC IQ AND ITS AFFILIATES, LICENSORS, CONTRACTORS, VENDORS, RESELLERS, DISTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR EXCLUSIVE REMEDY AND BIOSYNC IQ'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THESE TERMS OR THE SERVICES WILL BE LIMITED TO THE AMOUNT YOU PAID DIRECTLY TO BIOSYNC IQ FOR THE SERVICES DURING THE ONE MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $10.00 IF YOU DID NOT PAY BIOSYNC IQ DIRECTLY FOR THE SERVICES DURING THAT PERIOD.

Some jurisdictions do not allow certain limitations or exclusions. In those jurisdictions, the limitations and exclusions apply only to the maximum extent permitted by law.

18. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BioSync IQ, its affiliates, and their respective officers, directors, members, managers, employees, contractors, agents, vendors, and service providers from and against claims, damages, liabilities, costs, and expenses arising out of or related to your misuse of the Services, violation of these Terms, violation of applicable law, or violation of the rights of another person or entity.

19. Governing Law; Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, unless applicable law requires otherwise. Venue for disputes will be in the state or federal courts located in Davidson County, Tennessee, unless applicable law requires a different forum.

Before filing a claim, you agree to try to resolve the dispute informally by contacting BioSync IQ. This section does not prevent either party from seeking emergency injunctive relief or from exercising rights that cannot be waived under applicable law.

20. Miscellaneous

These Terms, together with any applicable privacy notices, provider agreements, consent forms, business associate agreements, order forms, or Service-specific terms, constitute the agreement governing your use of the Services. If a court finds part of these Terms unenforceable, the remaining parts will remain in effect.

BioSync IQ may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, change of control, or by operation of law. You may not assign these Terms without BioSync IQ's prior written consent.

Failure to enforce a provision is not a waiver. Section headings are for convenience only and do not affect interpretation. Provisions that by their nature should survive termination will survive, including data rights, intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.
